A VCC's annual compliance consists of the statutory tasks it must complete every year after set-up: holding an AGM and filing an annual return with ACRA, an annual audit, keeping its particulars up to date, running AML/CFT procedures continuously through an Eligible Financial Institution (EFI), and filing income tax with IRAS. Funds with a 13O / 13U award must also meet MAS's conditions in every basis period and file an annual declaration. The checklist below counts from the financial year end (FYE) and is arranged in date order so that each item can be ticked off. All deadlines follow the current pages of ACRA, IRAS and MAS; the dates on this page are as at 24 October 2026.

The first 6 months after set-up

Once a VCC's registration is approved, several "one-off but time-bound" appointments must be made. ACRA's Step 2 (29 January 2026) requires the following:

Deadline Task Responsible Basis
At registration Appoint the fund manager and at least 1 locally resident director; at least one director must be a qualified representative under the VCC Act or a director of the fund manager Board / sponsor ACRA Step 2
From set-up Appoint an EFI to carry out AML/CFT checks Board ACRA Step 1; MAS Notice VCC-N01
Within 3 months Appoint at least 1 auditor Board ACRA Step 2
Within 6 months Appoint a company secretary Board ACRA Step 2
Within 14 days of commencing business (if applicable) A single family office operating under the class exemption notifies MAS Family office MAS SFO exemption FAQs
As needed Apply to MAS for a 13O / 13U award Fund manager / tax adviser FDD Cir 05/2026

Points to check

  1. Have the appointments of the auditor and company secretary been lodged with ACRA?
  2. Has the EFI completed customer due diligence on the first investors and set up the register of beneficial owners?
  3. Is the first financial year end aligned with the reporting cycles of the fund manager, the auditor and the family office? This drives every annual milestone that follows; the first financial year may not exceed 18 months unless the Registrar approves otherwise (VCC Act s 98(2)).

After each financial year end: the annual timeline

Taking the FYE as day 0, the main milestones are as follows (applicable in Singapore):

After FYE Task Filed with Basis and date
Within 3 months File estimated chargeable income (ECI); not required for a year of assessment in which annual revenue is no more than S$5 million and ECI is nil IRAS IRAS ECI page, 10 August 2026
Within 4 months 13O / 13OA / 13U funds file their Annual Declaration confirming that award conditions have been met MAS FDD Cir 05/2026 FAQ
Within 4 months A single family office operating under the class exemption files its annual return, with no extensions MAS MAS SFO exemption FAQs
Within 6 months Hold the AGM (unless exempt) ACRA ACRA overview of managing a VCC, 16 March 2026
Within 7 months File the annual return; each sub-fund of an umbrella VCC files separately, showing its own accounts, assets and liabilities ACRA Same; annual return deadline page, 29 January 2026
By the IRAS deadline File the corporate income tax return; a VCC must use Form C (Form C-S / C-S Lite are not available), and an umbrella VCC files only one set; the filing deadline for YA 2026 is 30 November 2026 IRAS IRAS VCC tax guide Fourth Edition paragraph 5.40, 22 April 2026; IRAS Filing Season 2026 page, 30 September 2026

The audit must be completed before the AGM and the annual return. A VCC cannot use the small-company audit exemptions in sections 205B and 205C of the Companies Act (ACRA). Section 100(2) of the VCC Act requires financial statements to give a true and fair view of the financial position and performance of the VCC and its sub-funds; an umbrella VCC must prepare separate accounts for each sub-fund using the same accounting standards, so audit scheduling should allow for the number of sub-funds. For income tax, an umbrella VCC's chargeable income is the sum of its sub-funds' income and tax rules apply at sub-fund level; under current rules, the losses and unutilised capital allowances of a loss-making sub-fund cannot be set against a profitable sub-fund (IRAS Fourth Edition paragraph 5.9). Extensions of time for the annual return and the AGM can be applied for separately, at S$200 each time (ACRA fee table, 29 January 2026).

Event-driven tasks

The following tasks have no fixed date; once triggered, they must be dealt with within the time limit:

Trigger Time limit Notes
Change in personal particulars, contact details or address of directors, secretary or other officers Within 14 days Update with ACRA
Change in a sub-fund's name or address, or in the VCC type Within 14 days Same
New sub-fund Within 7 days of the sub-fund being established Register with ACRA through the VCC portal at S$400 each; processing takes up to 3 working days (ACRA Step 6, 15 June 2026); fine on conviction of up to S$1,000 for late registration (VCC Act s 27); IRAS need not be notified (IRAS Fourth Edition paragraph 5.41)
Change of name or dissolution of a sub-fund Within one working day Notify the Registrar (VCC Act s 28)
Proposed winding up or dissolution of a sub-fund Before winding up Obtain tax clearance from IRAS first (IRAS Fourth Edition paragraph 5.41); an umbrella VCC applying to dissolve a sub-fund must publish a notice and may dissolve it only 60 days after the notice; books must be kept for at least 5 years after dissolution (VCC Act ss 33A–33E)
Creation of a charge (e.g. financing secured on VCC assets) Within 30–37 days Register with ACRA, fee S$60
Change of fund manager Under ACRA's rules on changes 13O / 13U funds must also notify MAS in writing; a switch between a family-office and a non-family-office manager requires a fresh application for the relevant award and an annual declaration for the final basis period of the original award
VCC ceases operations — Apply for striking off if it has no debts; if it has debts, it must be wound up

The tax treatment of a change of fund manager is specifically addressed in the FAQ annex to MAS Circular FDD Cir 05/2026: if a new award is granted, it takes effect from the date the new application was submitted, so that the period covered by the tax award remains continuous.

AML/CFT and registers: continuing obligations

AML/CFT is not a once-a-year exercise. MAS Notice VCC-N01 requires a VCC to appoint an EFI to carry out the necessary checks and to identify and know its customers (including beneficial owners); customer due diligence includes maintaining a register of beneficial owners. The Notice was last revised on 30 June 2025, with the revisions in force from 1 July 2025.

Continuing checklist

  1. Has customer due diligence been completed before each new investor subscribes?
  2. Has the register been updated after changes in investors or their beneficial owners (such as a change of trust beneficiary or of a company's shareholders)?
  3. Are higher-risk investors subject to enhanced due diligence and periodic review under the EFI's procedures?
  4. Is the register of members complete and available promptly on request by public authorities? The register is not open to the public, but public authorities can obtain it by law (ACRA).
  5. Have due diligence and reporting by the VCC as a financial institution under CRS / FATCA been completed on IRAS's timetable?
  6. Do the EFI and directors receive regular AML/CFT training, and does the manager regularly review whether there are dormant VCCs or sub-funds whose assets or investors have been fully withdrawn? These two points are supervisory expectations raised after MAS's thematic review in Circular IID 04/2025 (26 June 2025), as summarised by Allen & Gledhill on 29 July 2025 (secondary); the MAS circular itself is authoritative.

Tax incentives: meeting the conditions every basis period

A 13O / 13U award is not "set and forget". Paragraph 2.4 of the MAS circular provides that if the economic conditions are not met in a basis period, no tax exemption applies for that basis period. Check the following every basis period:

Condition Non-family-office funds Single-family-office funds (awarded from 1 August 2026)
Qualifying investment professionals At least 2 for 13O / 13OA (from YA 2028); at least 3 for 13U At least 2 for 13O / 13OA, at least 1 of whom is not a family member; at least 3 for 13U
AUM in DI Annual minimum removed, with retrospective effect from 1 January 2025 At least S$20 million for 13O / 13OA at application and at each basis-period end; at least S$50 million for 13U
Local business spending Three tiers by AUM in DI: S$200,000 / S$300,000 / S$500,000 Three tiers by AUM in DI: S$200,000 / S$500,000 / S$1 million
Capital deployment requirement Not applicable The lower of 10% of AUM in DI and S$10 million, invested in specified categories
Private-bank account Not applicable Held with an MAS-licensed financial institution at application and in each basis period
Annual declaration Filed with MAS within 4 months after the basis period ends Same

A fund that fails to file its annual declaration or cannot be contacted is treated as not having met the scheme conditions, receives no tax exemption for that year of assessment, and MAS reserves the right to terminate the award. The circular also states that 13O / 13OA / 13U funds that file the annual declaration and meet the conditions are treated as meeting the economic substance requirement under section 10L of the Income Tax Act for that basis period. Existing funds follow the conditions of their original award letters and the transitional arrangements, as set out in MAS's written notification (for the full conditions see VCC tax and Single family offices).

Additional obligations for single family offices

If the family also has a single family office (SFO) operating under the class licensing exemption in force from 15 June 2026, with a VCC as its fund vehicle, the following tasks belong in the same calendar (MAS SFO exemption FAQs):

  1. Notification: a new SFO must notify MAS within 14 days of commencing business; existing SFOs have a transition period until 15 June 2027.
  2. Annual return: the first annual return is filed within 4 months after the end of the SFO's current financial year, and MAS does not grant extensions; a service provider can file on the SFO's behalf.
  3. Bank accounts: the SFO and its fund vehicle must each open and maintain an account with an MAS-licensed bank; a fund vehicle incorporated abroad may bank with a regulated bank in a jurisdiction that meets FATF standards.
  4. Client scope: the SFO may manage money only for family members (including family trusts and wholly family-owned companies), charities wholly funded by the family and key employees, with key employees' assets not exceeding 10% of total assets under management; check once a year that the client list still qualifies.

Whether an SFO can itself act as a VCC's fund manager is a separate question that needs confirmation from lawyers (see Fund manager).

It is sensible for the company secretary, the fund manager and the tax adviser to share one calendar, with a named owner for each milestone.
